Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Neptune AI LLC ("Neptune AI," "we," "us," or "our") governing your access to and use of Odyssey (the "Service"), including our website, applications, APIs, and any related services.

PLEASE READ THESE TERMS CAREFULLY. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Service Description

Odyssey is an AI model comparison and orchestration platform that allows you to:

• Submit prompts to multiple AI models from various providers
• View and compare model responses side-by-side
• Vote on response quality and view community-driven leaderboards
• Upload and analyze documents using AI
• Use web search to augment AI responses
• Create custom AI agents and orchestrate multi-agent workflows (paid features)
• Generate images using AI models (paid features)

The Service integrates with third-party AI providers including, but not limited to: OpenAI, Anthropic, Google, Mistral AI, xAI, DeepSeek, Moonshot AI, and Cohere. We do not control and are not responsible for the AI models' outputs.

2.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with reasonable notice when possible)
• Emergency maintenance or security updates
• Third-party service outages (AI providers, hosting, etc.)
• Circumstances beyond our reasonable control

2.2 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any features) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

3. Eligibility & Registration

3.1 Age Requirements

You must be at least 13 years old to use the Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with parental or guardian consent. We do not knowingly collect information from children under 13.

3.2 Account Creation

To access certain features, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

3.3 Account Security

You are responsible for safeguarding your account credentials. We recommend using a strong, unique password and enabling two-factor authentication when available. Neptune AI will not be liable for any loss or damage arising from your failure to protect your account.

3.4 One Account Per Person

You may not create multiple accounts to circumvent usage limits, abuse free trials, manipulate leaderboards, or evade suspension or termination.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. The following uses are strictly prohibited:

4.1 Prohibited Content

You may not use the Service to generate, upload, or share:

• Content that violates any law or regulation
• Child sexual abuse material (CSAM) or content that exploits minors
• Non-consensual intimate imagery or deepfakes
• Content promoting violence, terrorism, or self-harm
• Hate speech targeting protected characteristics
• Malware, viruses, or malicious code
• Content that infringes intellectual property rights
• Spam, phishing, or fraudulent content
• Content that violates others' privacy rights

4.2 Prohibited Activities

You may not:

• Circumvent, disable, or interfere with security features
• Attempt to bypass rate limits or usage restrictions
• Reverse engineer, decompile, or extract source code
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the Service or its infrastructure
• Impersonate others or misrepresent your affiliation
• Harass, abuse, or threaten other users
• Engage in any activity that could harm Neptune AI or its users
• Use the Service to develop competing products
• Resell or redistribute the Service without authorization

4.3 High-Risk Uses

The Service is NOT designed or intended for high-risk applications where failure could lead to injury, death, or significant damage, including:

• Medical diagnosis, treatment, or clinical decisions
• Legal advice or decisions affecting legal rights
• Financial advice or investment decisions
• Operation of vehicles, machinery, or critical infrastructure
• Emergency services or life-safety systems

4.4 Enforcement

We reserve the right to investigate violations and take appropriate action, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Content & Intellectual Property

5.1 Your Content

You retain ownership of the content you submit to the Service ("Your Content"), including prompts, documents, and configurations. By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, process, and store Your Content to provide the Service
• Create backups and maintain security
• Generate aggregate, anonymized statistics
• Improve and develop the Service

This license terminates when you delete Your Content or your account, except for copies retained in backups or as required by law.

5.2 Shared Content

If you choose to share comparisons publicly (via shareable links), you grant us and others a license to view and display that content. You can revoke this by making the content private.

5.3 Our Content

The Service, including its design, features, code, documentation, logos, and trademarks, is owned by Neptune AI and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of our content
• Use our trademarks without written permission
• Remove or alter any copyright or proprietary notices

5.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without compensation or obligation to you. You grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

6. AI-Generated Content

6.1 No Guarantees

We do NOT guarantee that AI-generated content will be:

• Accurate, complete, or current
• Appropriate for any particular purpose
• Free from errors, biases, or harmful content
• Legally compliant in your jurisdiction

6.2 Not Professional Advice

AI-generated responses should NEVER substitute for professional advice, including:

• Medical advice: Always consult healthcare professionals
• Legal advice: Consult a licensed attorney
• Financial advice: Consult a qualified financial advisor
• Mental health: Seek help from licensed professionals
• Emergency situations: Contact emergency services

6.3 Third-Party AI Models

AI responses are generated by third-party providers. Neptune AI does not control these models and is not responsible for their outputs. Each provider has their own terms and acceptable use policies.

6.4 Your Responsibility

You are solely responsible for how you use AI-generated content. Review all outputs before relying on or sharing them. Neptune AI disclaims all liability for your use of AI-generated content.

7. Subscriptions & Payments

7.1 Subscription Plans

We offer various subscription tiers (Free, Pro, Pro+, Enterprise) with different features and usage limits. Details are available on our pricing page.

7.2 Payment Terms

• All fees are charged in advance on a monthly or annual basis
• Prices are in US dollars unless otherwise stated
• Prices exclude applicable taxes, which you are responsible for
• We use Stripe for payment processing; their terms apply

7.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent periods
• Features may be downgraded to the free tier

7.5 Refunds

Refunds are generally not provided except:

• Within 14 days of initial purchase if you have not used the paid features
• Where required by applicable law
• At our sole discretion for exceptional circumstances

7.6 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period. Your continued use constitutes acceptance of the new pricing.

8. API Keys (BYOK)

The "Bring Your Own Key" (BYOK) feature allows you to use your own API keys with AI providers. If you use BYOK:

8.1 Your Responsibilities

• Maintain valid API keys with each provider
• Comply with each provider's terms of service and acceptable use policies
• Pay all charges incurred from your API usage
• Keep your API keys confidential and secure
• Monitor your usage and spending

8.2 Our Handling of Your Keys

• API keys are encrypted at rest using AES-256 encryption
• Keys are only decrypted at runtime to make API calls
• Keys are never logged, shared, or transmitted unencrypted
• You can delete your stored keys at any time

8.3 Limitations of Liability

Neptune AI is not liable for any issues arising from your BYOK usage, including charges incurred, service interruptions from providers, or any misuse of your API keys.

9. Third-Party Services

The Service integrates with and relies on third-party services:

9.1 AI Providers

We use AI models from OpenAI, Anthropic, Google, Mistral AI, xAI, DeepSeek, Moonshot AI, Cohere, and potentially others. Your use of these models is also subject to their respective terms of service.

9.2 Third-Party Links

The Service may contain links to third-party websites or services. We do not control and are not responsible for their content, privacy practices, or terms.

9.3 No Endorsement

Reference to any third-party product, service, or provider does not constitute an endorsement by Neptune AI.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NEPTUNE TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT
• AVAILABILITY OR UNINTERRUPTED OPERATION
• SECURITY OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements, that AI-generated content will be accurate or reliable, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEPTUNE TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of goodwill or reputation
• Cost of substitute services
• Personal injury or property damage
• Any damages arising from AI-generated content

ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.1 Cap on Liability

In no event shall our total liability exceed the greater of:

• The amount you paid us in the twelve (12) months preceding the claim, or
• One hundred US dollars ($100)

11.2 Essential Purpose

The limitations in this section shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Neptune AI, its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your Content or use of the Service
• Your violation of any third-party rights
• Your violation of any applicable law or regulation
• Your negligent or wrongful conduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

13. Termination

13.1 Termination by You

You may terminate your account at any time by deleting it through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you:

• Breach these Terms
• Engage in fraudulent or illegal activity
• Pose a security or integrity risk to the Service
• Fail to pay applicable fees

13.3 Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted within 30 days (except as required by law)
• Any outstanding fees become immediately due
• Provisions that should survive termination will continue in effect

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at info@neptunetechnologies.com to attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• The arbitration will take place in the United States
• The arbitration may be conducted remotely (by phone, video, or documents only)
• The arbitrator's decision shall be final and binding
• Judgment may be entered in any court of competent jurisdiction

14.3 Class Action Waiver

YOU AND NEPTUNE TECHNOLOGIES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions

Notwithstanding the above, either party may:

• Seek injunctive or other equitable relief in court
• Bring claims in small claims court if eligible

14.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@neptunetechnologies.com within 30 days of first using the Service. If you opt out, you may pursue disputes in court.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date
• Notify you via email or in-app notification
• Provide at least 30 days' notice before changes take effect (for material changes)

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

For non-material changes (e.g., clarifications, typo fixes), we may update these Terms without prior notice.

16. General Provisions

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neptune AI regarding the Service and supersede all prior agreements.

16.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.6 Force Majeure

Neptune AI shall not be liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or technical failures.

16.7 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including U.S. Export Administration Regulations.
